# General Risk Disclosures

SurgeXRP General Risk Disclosures

*Please read these disclosures carefully before investing on the SurgeXRP platform. Investing in tokenized real estate involves significant risks. This is not a complete list of all risks.*

#### 1. Capital Risk

The value of your investment in property tokens may go down as well as up. You may receive back less than the amount you originally invested, including the potential loss of your entire investment. There is no capital protection or guarantee of returns on the SurgeXRP platform.

#### 2. Rental Income Risk

Rental income from properties is not guaranteed. Income depends on factors including tenant occupancy, rental market conditions, lease terms, property maintenance costs, and local economic conditions. Properties may experience periods of vacancy during which little or no income is generated.

#### 3. Property Valuation Risk

The value of real estate assets can decline due to economic downturns, changes in local market conditions, interest rate changes, oversupply, or other factors. A decline in property value may reduce the value of your tokens and affect potential returns upon any property liquidation or sale.

#### 4. Liquidity Risk

Property tokens may have limited secondary market liquidity. You may not be able to sell your tokens at a desired price or time. Unlike publicly traded securities, there is no guarantee that a liquid market for property tokens will exist at any given moment.

#### 5. Regulatory & Legal Risk

The legal and regulatory landscape for tokenized real estate is evolving. Changes in laws or regulations in any jurisdiction — including those governing securities, real estate, cryptocurrency, or anti-money laundering — could adversely affect the platform, the value of your tokens, or your ability to access your investment. SurgeXRP may be required to cease operations or restrict access to certain jurisdictions at any time.

#### 6. Blockchain & Technology Risk

The SurgeXRP platform relies on the XRP Ledger and related blockchain technology. Blockchain networks can experience technical failures, network attacks, protocol changes, or consensus failures. Smart contract vulnerabilities, if any, could result in the loss of funds. The immutability of blockchain transactions means that errors in wallet addresses or transaction amounts cannot be reversed.

#### 7. Custodial & Wallet Risk

You are responsible for maintaining the security of your XRPL wallet and private keys. Loss of access to your wallet (e.g., loss of seed phrase) may result in the permanent loss of your tokens. SurgeXRP cannot recover lost wallets or private keys on your behalf.

#### 8. Counterparty Risk

SurgeXRP works with third-party property management partners, KYC providers, and other service providers. The failure or misconduct of any counterparty could adversely affect platform operations or investor returns.

#### 9. Currency & Stablecoin Risk

Rental income is distributed in RLUSD. While RLUSD is pegged to the US Dollar, stablecoins carry their own risks, including de-pegging events, issuer risks, or regulatory actions that could affect the stablecoin's value or availability.

#### 10. Concentration Risk

Investing a large portion of your capital in a small number of property tokens concentrates your risk. We encourage diversification across multiple properties and asset classes.

#### 11. Force Majeure Risk

Events beyond our control — including natural disasters, pandemics, war, government actions, or other extraordinary circumstances — may affect property operations, rental income, and platform availability.

#### 12. No Government Insurance

Investments on SurgeXRP are not insured or guaranteed by any government deposit protection scheme. Unlike bank deposits, there is no government-backed protection for your investment.
