These Terms of Service ("Terms") govern your access to and use of the SurgeXRP platform, website, and services (collectively, the "Platform") operated by SurgeXRP ("we," "us," or "Company"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts in your jurisdiction to use the Platform. By registering, you represent and warrant that you meet these requirements.
The Platform is not available to residents of jurisdictions where the offering of tokenized real estate investments is prohibited by applicable law. It is your responsibility to ensure that your use of the Platform complies with the laws of your jurisdiction.
2. Account Registration & KYC
To invest on SurgeXRP, you must create an account and complete our identity verification (KYC) process. You agree to provide accurate, current, and complete information and to keep your account information up to date.
You are responsible for maintaining the confidentiality of your account credentials and your connected XRPL wallet. You are responsible for all activity that occurs under your account.
SurgeXRP reserves the right to suspend or terminate any account that fails to complete KYC, provides false information, or is suspected of being involved in fraudulent or illegal activity.
3. Investment Risks
Investing in tokenized real estate involves substantial risks, including the potential loss of your entire investment. Past performance is not indicative of future results. Property values can decline, rental income can decrease or cease, and the tokenized nature of investments introduces additional technical and regulatory risks. Please read our General Risk Disclosures carefully before investing.
SurgeXRP does not provide investment advice. Nothing on the Platform constitutes a recommendation to buy, sell, or hold any token or investment. All investment decisions are solely your own responsibility.
4. Platform Fees
SurgeXRP charges fees for certain services on the Platform, including property management coordination fees and transaction fees. All applicable fees are disclosed on individual property listings and in our fee schedule. We reserve the right to modify our fee structure with reasonable notice.
5. Token Transactions
All token purchases and transfers are executed on the XRP Ledger and are final and irreversible once confirmed on-chain. SurgeXRP is not responsible for errors in transactions resulting from incorrect wallet addresses or other user errors. It is your responsibility to verify all transaction details before confirming.
6. Income Distributions
Rental income distributions are made in RLUSD and are processed monthly, subject to the availability of cleared funds from property operations. SurgeXRP does not guarantee any specific level of income or return. Distribution amounts may vary month to month based on occupancy, expenses, and other factors.
7. Property Management
Properties listed on SurgeXRP are managed by our vetted property management partners. SurgeXRP acts as a technology platform and coordinator and is not itself a property manager, landlord, or real estate agent. We are not liable for the actions or omissions of property management partners, provided we have exercised reasonable care in their selection.
8. Intellectual Property
All content on the SurgeXRP Platform, including but not limited to the SurgeXRP brand, logo, platform design, documentation, and software, is the intellectual property of SurgeXRP and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our express written permission.
9. Prohibited Conduct
You agree not to:
Use the Platform for any unlawful purpose
Attempt to gain unauthorized access to any part of the Platform
Use automated tools to scrape, harvest, or mine data from the Platform
Engage in market manipulation, wash trading, or other deceptive practices
Impersonate any person or entity
Transmit malware, viruses, or other harmful code
10. Limitation of Liability
To the maximum extent permitted by applicable law, SurgeXRP and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or your investments.
SurgeXRP's total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees you have paid to SurgeXRP in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless SurgeXRP and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising from your use of the Platform, your breach of these Terms, or your violation of any applicable law.
12. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of [jurisdiction to be confirmed]. Any disputes arising out of or relating to these Terms or the Platform shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of [arbitration body], with proceedings conducted in English.
13. Modifications
We may update these Terms from time to time. Material changes will be communicated with at least 14 days' notice via email or platform notification. Continued use of the Platform after the effective date of changes constitutes acceptance.
14. Termination
We reserve the right to terminate or suspend your access to the Platform at any time, with or without cause or notice, including if you violate these Terms or applicable law. Upon termination, your right to use the Platform ceases immediately.
15. Entire Agreement
These Terms, together with our Privacy Policy, General Risk Disclosures, and Disclaimer, constitute the entire agreement between you and SurgeXRP regarding your use of the Platform.
